Terms of Service

1. Acceptance

By creating an account or using SecOps Gateway ("the Platform"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Platform. These Terms form a binding agreement between you and SecOps Gateway LLC ("Company," "we," "us").

2. Eligibility

• You must be at least 18 years old
• You must be legally authorized to work and operate in the United States
• If registering on behalf of a business, you must have authority to bind that business
• You may not create an account if you have been previously banned from the Platform

3. Account Types and Responsibilities

Security Vendors are businesses that post jobs or bid on jobs as subcontractors. You are responsible for ensuring all officers you assign are properly licensed in the relevant state(s).

Officers / Agents are individual security professionals. You are responsible for maintaining valid state licenses and keeping your credentials current on the Platform.

Buyers / Individual Buyers are businesses that hire security services. You are responsible for providing accurate job descriptions and honoring awarded contracts.

Training Schools that claim or feature their profiles are responsible for the accuracy of course information, credential requirements, and fulfilling enrolled cohorts.

4. Compliance and Licensing

The Platform operates in a regulated industry. You agree to:

• Provide accurate, current compliance documents (business license, insurance, officer credentials)
• Maintain all required state licenses for the states in which you operate
• Notify the Platform within 48 hours if any compliance document expires or is revoked
• Not misrepresent credentials or licenses — doing so is grounds for immediate account termination and may be reported to relevant state authorities

5. Platform Rules

Non-solicitation

Following the end of a match between a vendor and an officer, a 90-day non-solicitation period applies. You may not directly solicit the other party outside the Platform during this period.

Sealed bidding

Bids are sealed until the job is awarded. You may not attempt to identify other bidders or share your bid to gain advantage.

Honest reviews

You may not submit fake reviews, solicit reviews in exchange for payment, or attempt to manipulate your rating or another party's rating.

No circumvention

You may not use the Platform to initiate contact and then move the relationship off-platform to avoid fees. Violations result in account suspension.

Prohibited conduct

• Creating duplicate or fake accounts
• Posting ghost jobs with no intent to hire
• Submitting fraudulent or altered compliance documents
• Scraping or automated access to the Platform without permission
• Harassment, discrimination, or threatening conduct toward other users

6. Fees and Payments

Current fee schedule:

• Vendor subscription: $17.76/month (Starter) or $177.60/month / $1,776/year (Professional)
• Job posting fee: $3.00 per job posted
• Urgent job SMS alert: $2.00
• Buyer subscription: $20.00/month
• Training school lead unlock: $5.00 per lead

Fees are charged via Stripe. Subscription fees are billed monthly or annually in advance and are non-refundable except as required by law. Job posting fees are non-refundable once the job is posted.

We reserve the right to change fees with 30 days notice. Continued use after notice constitutes acceptance of new fees.

7. Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Refunds for partial periods are not provided except at our sole discretion.

Training enrollment cancellations are governed by the individual school's refund policy, which is displayed at booking. Platform-initiated cancellations (due to school closure or fraud) will be fully refunded.

8. Account Suspension and Termination

We may suspend or terminate your account for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees (after grace period)
• Expired or revoked compliance documents
• Chargebacks or payment disputes initiated in bad faith

You may close your account at any time via account settings. Closed accounts are anonymized within 90 days. Certain data may be retained for legal compliance.

9. Intellectual Property

The Platform, its design, code, and content are owned by SecOps Gateway LLC. You grant us a limited, non-exclusive license to display and use content you submit to the Platform (profiles, reviews, documents) solely to operate and improve the Platform. We do not claim ownership of your content.

10. Disclaimers

The Platform is a marketplace that connects parties — we are not the employer of any officer, and we do not guarantee the quality, licensing, or conduct of any vendor, officer, or buyer. We do not guarantee job outcomes, payment collection, or the accuracy of third-party compliance databases.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECOPS GATEWAY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration under the AAA Commercial Arbitration Rules, conducted in Fredericksburg, Virginia, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms with 30 days notice for material changes (posted to this page and emailed to registered users). Continued use after the effective date constitutes acceptance.
